Code of Conduct

Introduction

1.1 General

U.P.PRO’s code of conduct applies to all employees and set expectations for U.P.PRO corporation, its affiliate, and its subsidiaries (hereinafter “U.P.PRO”). The code of conduct also applies to independent contractors, consultants, and suppliers who work with U.P.PRO.

1.2 Policy Purpose

The purpose of the code of conduct is to:

  • Establish an agreed framework of good business practice and ethics in business conduct
  • Provide guidance to you in your business conduct
  • Assist U.P.PRO in the provision of professional and effective service to customers
  • Promote and maintain trust and confidence
  • Prevent the development or acceptance of unethical practices.

1.3 Policy Principles

1.4 Policy Scope

This policy applies to all employees of U.P.PRO regardless of the nature of your contract of employment (for example permanent, temporary, indirect).

Professionalism

The Company request that at all times you act in a professional manner and in particular should:

  • Only undertake work which you are competent to undertake unless you obtain such advice and assistance as will enable you to competently carry out the work
  • Carry out your work with due skill, care and, expedition and with proper regard to the professional standards in place at U.P.PRO SCM Solutions
  • Avoid any action which may be detrimental to business performance
  • Avoid any behavior at any time that could damage the reputation of U.P.PRO SCM Solutions
  • Be courteous and considerate to all persons with whom you come in contact during the course of your work i.e., customers, contacts, contract workers, visitors to U.P.PRO SCM Solutions, management and colleagues.

Integrity

We work with integrity in everything we do and embody our principles when working with customers, suppliers, and colleagues. 

Duty of Confidentiality

It is an important condition of your employment that you do not at any time during your employment or any time after your employment has terminated, disclose to any person any confidential information relating to U.P.PRO, its customers of any other matters that came to your knowledge by virtue of your employment.

The Company’s business depends on ensuring information relating to the Company’s business and systems and that of its customers is protected. The Company has a reputation for conducting its business in a responsible and ethical manner. All employees are expected to protect such confidential

 

You may not divulge any information of a confidential nature relating to the Company or any associated companies or their business during or after employment except in the proper course of your employment or as required by law.

 

You are not permitted to make any copy, abstract, summary or précis of the whole or part of any document belonging to the Company except when necessary to do so or in the proper performance of your duties. Any such copy, abstract, summary or précis of the whole or any part of any document shall belong to the Company.

 

You must not, either during your employment or after its termination (whether you resign or are dismissed by the Company) disclose to any unauthorized person or use any confidential information relating to the business affairs or trade secrets of the Company unless authorized in writing by the Regional General Manager. This includes any information about the Company’s customers and employees’ actual, potential or past and all information held in any of the Company’s databases or relating to the secret business methods of the Company.

 

You are required to deliver to the Company at Head Office, before the end of your employment or immediately after it has ended, should your employment terminate without notice, any papers, documents or copies, keys, credit cards, and all stock, equipment and other property belonging to the Company. You will be required to sign an acknowledgment that all such property has been returned and you will be held accountable for anything that is not so returned. You will be charged with the cost of any damaged or missing equipment or for the cost of recovering any equipment should you fail to return it personally to Head Office.

 

You are not permitted to represent yourself as an authorized agent for the Company except in the course of the proper performance of your duties or were authorized to do so. When your employment ends you must not hold yourself out in any business context as being an employee of the Company. Should you engage in such conduct or attempt to interfere with the existing business relationship of this Company with its existing or potential, customers, suppliers or agents then the Company may take proceedings against you to prevent such activities and to recover any losses incurred as a result of them.

Declaration of Interest

In relation to customers with whom you have a personal or business connection, we request that you:

  • Advise your manager or the Regional General Manager of the nature of any personal interest where a perceived conflict of interest could arise
  • Avoid participation in any decision, where you or anyone connected with you may have a personal interest either directly or indirectly
  • Avoid seeking to influence any decision where you have a conflict of interest.

Legality

In order to ensure that U.P.PRO complies with all regulatory requirements you are required to:

  • Ensure all relevant legislation is upheld
  • Avoid any false, inaccurate or misleading entries in records
  • Co-operate fully with any relevant regulatory bodies
  • Keep yourself as up to date as possible on any changes in the legislation which may affect your areas of responsibility.

Receipt of Goods

You are requested to avoid giving or receiving corporate gifts, hospitality, preferential treatment or benefits which might affect or appear to affect your ability or the ability of the donor to make independent judgments on business transactions. If you do receive a gift from a supplier or customer it is advisable that you only accept the gift if:

  • It is unsolicited
  • It is of very small value (for example, a pen, diary, calendar, etc.)
  • You disclose it to your manager.

In all other cases, the gift should be returned to the sender with a note advising that acceptance would be contrary to the Company’s policy.

Dress code

Your professional judgment should be exercised at all times in relation to the dress code and where you are representing U.P.PRO it is important that you present a positive image of you and the Company. You are requested to adhere to the best standards of personal appearance and dress in clothes that are suitable for your work situation and the nature of your work.

Communicating with the Media

 

You must not speak to or communicate with the media on matters concerning the Company’s affairs for any reason or under any circumstances.

Personal Property

The Company will not be responsible for loss or damage to employees’ property, including motor vehicles, bags, etc., on company or customer premises. Employees should report all property lost or found to their manager.

Security

Because of the nature and location of U.P.PRO business, strict security measures are in force. Employees must conform to all rules regarding the performance of their duties, entering and leaving the premises as well as parking cars, motor vehicles, and bicycles on the premises. The security arrangements are designed to protect all staff, customers, suppliers and the Company. They cover many day-to-day routines and include special arrangements for certain areas. Abuse of these procedures may result in disciplinary action
